If ITLN ever combines with another organization, you agree that we may provide to that other organization your information without obtaining your further consent.
If you don’t agree and accept these Terms without reservation, you must exit the Site immediately and cease using it. Otherwise, you will be deemed to have accepted and agree to them. We may terminate these Terms with respect to you (including your access to our Site and the services that we offer) if you don’t comply with any provision of these Terms.
When you use ITLN owned or operated services, you may be subject to additional restrictions, terms and conditions, guidelines or rules applicable to specific services, which may be (a) posted from time to time on the applicable portions of the Site, (b) otherwise made available to you in writing by ITLN, or (c) otherwise mutually agreed in a written (which may be electronic) agreement (collectively, "Additional Terms"). We incorporate all Additional Terms by reference into the Terms so they also apply to you. If there’s a conflict between any Additional Terms and the Terms, the Additional Terms will apply and control regarding the applicable services at that portion of the Site but not to other portions of the Site.
2. Permitted Site Use
The Site’s information and material are provided for general informational purposes. You may only use the Site to learn about ITLN services, other ITLN members, educational events, and service opportunities, and to communicate with other ITLN members. In particular, it enables or facilitates:
A. Continued professional development – ITLN intends to use this Site to share development resources, training opportunities, news about alumni get-togethers, book references, websites, etc. We intend to use this Site to continue learning from each other.
B. Continued employment and business growth - ITLN intends to use this community to share employment opportunities, job leads, networking options, etc. We intend to help each other find exciting job and business opportunities whenever possible.
C. Development of our professional community – ITLN intends to use this community to share news regarding the development of Georgetown University's ITL certificate programs so that we can help shape and grow these areas.
D. Continued development of Georgetown University’s ITL certificate programs – ITLN believes that by developing the ITL certificate program alumni community, we can contribute to the continued development of these formal training programs. Georgetown has developed a solid and substantial tradition for these programs; we hope to help that tradition continues to grow and develop in the future.
Except as expressly authorized in writing, you may not use, reproduce or distribute the text, graphics, downloads, tools or any other content on the Site for any other purpose. You may be prosecuted civilly and / or criminally for any actual or attempted unauthorized use of or access to the Site (or any portion of it, including the account of other ITLN members). For your protection, we reserve the right to view, monitor, and record activity on the Site without notice or permission from you. In connection with the investigation or prosecution of possible criminal activity, you agree that we may share with law enforcement organizations any information that we obtain by monitoring, reviewing, or recording activity on the Site. ITLN will also comply with all court orders involving requests for such information.
ITLN reserves the right at any time and for any reason to deny you access to the Site or any portion of the Site, and to terminate these Terms. Termination will be effective without notice. ITLN reserves the right at any time and on occasion to modify or discontinue, temporarily or permanently, the Site and/or any information or services provided in connection with the Site, with or without notice. You agree that ITLN will not be liable, nor have any obligation of indemnification, to you or to any third party for any modification, suspension, or cessation of the Site or our services.
3. User Submitted Content
The Site may offer interactive features that allow users to submit content, communications, data, suggestions of resources, recommended tools for business, and/or other information or materials to the Site (collectively, "User Content"). Though we reserve the right to do so, ITLN does not and cannot review all such User Content, and is not responsible for any User Content.
You agree that by providing the ability to view and distribute User Content on the Site, ITLN merely acts as a passive conduit for that distribution and is not undertaking any obligation or liability related to that distribution. Despite that inactive role, ITLN reserves the right to block or remove any User Content, in whole or in part, that it – in its sole discretion - determines to be unacceptable to ITLN. We also reserve the right to block individual users altogether if we feel that is prudent (e.g., due to repeated violations of policies governing use of the Site).
ITLN does not condone or permit harassment of any sort or any form on the Site, including via email, text, chat, photos, pictures, audio recording, graphic art, or via use of obscene, profane, abusive language – or that considered hate speech. You may not impersonate anyone else, including ITLN employees, hosts, and / or representatives, as well as other members of or visitors to the Site. You may not upload to, distribute, or otherwise publish through the Sites any User Content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, hate speech, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party (including intellectual property rights, e.g., trademark, service mark, copyright, patent, and / or trade secrets) or that may otherwise violate any pertinent law or regulation. Additionally, you may not upload, transmit, distribute or otherwise publish any materials containing a virus, malware, spyware, or any other harmful element.
4. Authorization to Submit User Content
Without limiting the applicability of the provisions of the prior paragraph, you also agree that ITLN and any third-party partners may have access to User Content as soon as you submit such User Content through the Site. You will be solely responsible for obtaining any consents and authorizations required in connection with the submission of such User Content in advance of uploading, submitting or otherwise making it available to ITLN.
5. Login and Passwords
We may issue to you or you may create a user ID, password and/or other login credentials to access certain portions and services of the Site. You and only you are responsible for maintaining the confidentiality of such user ID, password, login credentials and account. You are also fully responsible for all activities that occur under your user ID, password and account; consequently, you agree to (a) refrain from sharing or disclosing your user ID, password, login credentials, account, or secure access procedure; (b) immediately notify us (using the contact information below or on the Site) of any threatened or actual unauthorized use of your user ID, password, login credentials or account or any other breach of security; and (c) to log off at the end of each session. You agree that ITLN will not be liable to you and any other person or party for any loss or damage arising from your failure to comply with these provisions.
6. Notice; Electronic Communications
When you visit the Site or send emails to ITLN, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on the Sites. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. If you don’t wish to receive those notices, you may deactivate your account.
As a member of ITLN, a visitor to this site, and/or someone who registers to attend an event sponsored, organized, or hosted by ITLN, you irrevocably consent to ITLN using photographs and/or video and audio recordings taken of – or provided by – you at ITLN events. Your permission covers use by ITLN of such photographs, video recordings, and/or audio recordings in paper and online publications, news releases, websites, promotional brochures, video clips, and in any other communications related to the mission of ITLN in any medium, now or later known. You represent that you are 18 years of age or older and have the right to grant this permission, for which you acknowledge that you will not receive any monetary compensation or other consideration, other than membership (if eligible) in ITLN, the ability to visit this site, and/or, if authorized, the opportunity to attend an ITLN event.
8. Disclaimer – Warranty
WE PROVIDE THE SITE AND ALL CONTENT, MATERIALS, SERVICES AND PRODUCTS ON THE SITE "AS IS." TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, ITLN DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
ITLN does not represent or warrant that the functions contained in and any services offered though the Site will be uninterrupted or error-free, that any defects will be corrected, or that the Site or the server that makes the Site available are free of viruses or other harmful components. ITLN does not make any warranties or representations regarding the use of the materials in the Site with respect to their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise. Though we may take steps to protect your personal information, ITLN does not make any warranties or representations regarding its security. Some states do not permit certain limitations or exclusions on warranties; accordingly, these limitations and exclusions are not intended to limit liability that cannot be excluded under the law where you reside.
10. Limitations of Liability
YOUR USE OF THE SITES IS AT YOUR OWN RISK. NEITHER ITLN, NOR ANY OF ITS MEMBERS, REPRESENTATIVES, OFFICERS, OR DIRECTORS, NOR ANY OF ITS AGENTS OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITES OR THEIR CONTENT, ARE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SITE OR THE MATERIAL AVAILABLE AT THE SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES. Some states do not permit certain limitations or exclusions on warranties; accordingly, these limitations and exclusions do not purport to limit liability that cannot be excluded under the law where you reside.
11. Third-Party Links
In an attempt to provide increased value to our visitors, ITLN may link to sites operated by third parties. Likewise, users of the Site may post links to third party sites. Even if the third party is affiliated with ITLN, ITLN has no control over these linked sites, all of which may have separate privacy and data collection practices, independent of ITLN. We and users of the Site make these links available solely for your convenience; therefore, you access them at your own risk. Without limiting the foregoing, ITLN specifically disclaims any responsibility if such sites: infringe any third party's intellectual property rights; are inaccurate, incomplete or misleading; are not merchantable or fit for a particular purpose; do not provide adequate security; contain viruses or other items of a destructive nature; are libelous or defamatory; or, because the content available through a particular link may change from time to time, do not contain the material that the our Site or our users suggested that it would contain.
ITLN does not endorse the content, or any products or services available, on such sites. Nonetheless, ITLN seeks to protect the integrity and viability of its Site and the links it features and therefore asks users for feedback on not only its own Site, but for sites to which it links as well (including if a specific link does not work at all or as expected).
12. Retention of Rights; Limited License Grant
Without limiting the preceding Section 15, (a) the name “The Georgetown ITL Network,” “ITLN,” and “the Network” are service marks of ITLN. These marks may not be used without our consent on any product or service, except our own, or except as permitted in these Terms. Nothing contained on the Site should be deemed to grant, by implication, estoppel, or otherwise, any license or right to use any trademark, service mark, logo or trade name (collectively, "Trademarks") displayed or featured on the Sites without the written permission of ITLN or such third party that may own the Trademarks displayed on the Sites.
The Site is subject to US and international copyright laws: Copyright © 2018, The Georgetown ITL Network. ALL RIGHTS RESERVED. All content included on the Site, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of ITLN or its content suppliers and protected by United States and international copyright laws. The compilation of all content on the Site, and any and all databases accessible on or through the Site, are ITLN’s exclusive property and protected by United States and international copyright laws. All software used on the Site is the property of ITLN or its software suppliers and protected by United States and international copyright laws. You agree not to change or delete any proprietary notices from materials printed or downloaded from the Site.
15. Copyright Complaints
ITLN respects the intellectual property of others. The Digital Millennium Copyright Act (the “DMCA”) provides remedies for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that any materials hosted by ITLN infringe your copyright rights, you may send us a notice requesting that we remove material, or block access to it. The notice must include the following information:
• a physical or electronic signature of whoever is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
• identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single website are covered by a single notification, a representative list of such works at that site;
• identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
• information reasonably sufficient to permit us to contact you, such as an address, telephone number and email address;
• a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by you, your agent, or the law; and
• a statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

We encourage you to consult your legal advisor before filing a notice or counter-notice as the notification requirements may change from time to time. Please note that under Section 512(f) of the DMCA, any person who knowingly materially misrepresents that material or activity is infringing may be subject to liability.
16. Export Control
Software and other materials downloaded or that might otherwise be made available from the Site may be subject to United States export control laws. These laws prohibit the export of certain technical data and software to certain territories. No software from the Site may be downloaded or exported (i) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Sudan, Syria, or any other country to which the United States has embargoed goods; or (ii) to anyone on the United States Treasury Department's list of Specially Designated Nationals or the United States Commerce Department's Table of Deny Orders.
ITLN does not authorize the downloading or exportation of any software or technical data from the Site to any jurisdiction prohibited by the United States export control laws.
17. Law and Jurisdiction
ITLN may assign its rights and / or delegate its duties under these Terms to anyone at any time without notice to you. In contrast, you may not do either. Any attempt to do so on your part will be null, void, and unenforceable – and a violation of these Terms.
19. Questions and Feedback
We welcome your questions, comments, and concerns about the Site. Please send us any and all feedback pertaining to the Site to the address indicated in the Contact Us section below. You grant ITLN the a non-exclusive, sublicensable, irrevocable and royalty-free worldwide license to use and publish such feedback in any medium, now known or later developed.
20. Waiver; Severability
No waiver of any provision of these Terms by us shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is later found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severed from these Terms and won’t affect the validity and enforceability of any remaining provisions. You agree that we may replace any such provision with one that is intended to accomplish the same purpose but without the issue that led to its invalidity.
21. Nature of Relationship
Neither these Terms nor your use of the Site create a joint venture, partnership, employment, franchise, or agency relationship between us.

1. Information Collected
When you visit or use the Site, we may collect certain information from you, including your Internet Protocol (IP) address, Media Access Control (“MAC”) address, Internet browser type, computer operating system, device-identifying information, the specific pages of our Site that you visit during your connection to the Site, and the domain name from which you accessed the Site. In addition, we may collect information about your browsing activity on the Site, such as the date and time you visit the Site, the areas or pages of the Site that you visit, the amount of time spent viewing the Site, the number of times you return to the Site and other clickstream data (i.e., information regarding the path you take though the site).
We also collect from you personally identifiable information ("Personal Information") when you submit it to us, including when you register for an account, update your account, or participate in other Site features. This information may include but isn’t necessarily limited to, your name, email address, mailing address, billing address, telephone number, and information about the Georgetown University Institute for Transformational Leadership program or programs that you completed. We may combine the information we collect from you with information we receive about you from other sources (e.g., from Georgetown University – if you consented to having Georgetown University share information with us). You may, however, visit portions of the Site without providing Personal Information, but you may not be able to access or use some of the areas, pages, and features on our Site, or that we may later include on the Site, that require Personal Information (you may be able to provide the required Personal Information later in order to access those areas, pages, and features on our Site that require Personal Information). In some jurisdictions, users may have the right to opt-in or withdraw their consent for certain uses. If you reside in one of those jurisdictions, you may have additional rights which are detailed in the “Accessing, Revising, and Deleting Personal Information” section below.
2. How We May Use Your Personal Information
We use a third-party vendor (currently YourMembership, which is affiliated with Community Brands Holdings, LLC) to host the Site and provide other services. By submitting your Personal Information, you authorize ITLN and our third-party vendor to use the information we collect in the following ways:
• To provide you with a personal account on the Site, if you choose to have one, through which you may share information about yourself and your activities with other Site users.
• To provide a forum for communication between users of the Site, all of whom were or are affiliated with the Georgetown University Institute for Transformational Leadership as a graduate, current or former faculty member, or current or former administrator.
• To enable users to access some or all of your Personal Information in order to facilitate communications among users.
• To facilitate organizing and communications about events of interest to all or, in some cases, segments of users (e.g., a single cohort of one of the Georgetown University Institute for Transformational Leadership certificate programs), including but not limited to conferences, learning groups, and other professional development activities, as well as social activities.
• To provide a vehicle for registration for ITLN affiliated events, programs, and activities.
• To verify the information you have provided.
• To offer and communicate with you about ITLN services and programs.
• To communicate information about third party resources that may be of interest to you.
• To compile and aggregate Personal Information on an anonymous basis for research, analysis, and related purposes.
In addition, as is the case with many website operators, ITLN may also use other information that we obtain from you when you visit the Site and / or use its features as follows:
• To permit us to respond more effectively to customer service inquiries.
• To process transactions efficiently (e.g., membership renewals).
• To provide a more customized user experience while visiting the Site and to allow us to provide content and other information in which you may be interested.
• To enable participation in surveys and other Site functions.
• To administer the Site, track user activities, analyze trends, infer interests, and otherwise gather information about users’ needs.
• As noted above, if ITLN ever combines with another organization, you agree that we may provide to that other organization your information without obtaining your further consent.
If you don’t wish to receive communications from us notifying you of ITLN events, opportunities, activities, and / or programs, you may opt-out of receiving these communications by following the instructions contained in the messages you receive. Even if you opt-out of receiving those messages, we reserve and retain the right to send certain communications to you relating to ITLN services as well as administrative messages (including but not limited to announcements about planned Site maintenance). As to these latter types of messages, we don’t provide the opportunity to opt-out of receiving them. If you don’t wish to receive those notices, you may deactivate your account.

Note that if you do, we may need to retain it for legally permitted purposes; we will explain this to you if necessary. If you need assistance correcting or modifying your Personal Information, or would like to ask us to delete your Personal Information, please communicate with us using the information in the "Contact Us" section further below.
6. Personal Information Retention
We will retain Personal Information that we collect, access or process only as long as needed to accomplish the purpose(s) for which we collected it, unless otherwise provided in agreements between ITLN and you or as required or authorized by law. In due course, we will destroy, erase or de-identify Personal Information that we no longer need to accomplish the purpose for which we collected it.
7. Personal Information Safeguards
ITLN uses and maintains reasonable and appropriate steps that are formulated to store information that we collect in a secure manner. We have taken certain physical, electronic, and administrative steps to safeguard and secure information that we collect from Site visitors. Please understand, however, that even though we have implemented and follow reasonable steps to endeavor to protect the Site user information that we possess, no system is perfect. Therefore, we unfortunately cannot promise, and you shouldn’t expect, that your information will necessarily be secure in every circumstance.
You must be responsible for taking – and must in fact take – reasonable steps to maintain the confidentiality of your username and password. You are responsible for all activities under your account that you can reasonably control (including by anyone with whom you share your username and password). You must promptly alert us of any unauthorized use of your account, your username, your password, or of any other security breach of which you become aware that relates to your account or to the Site or ITLN services, events, activities, or offerings.

Certain state laws may permit Site users who reside in such states to request certain information about our disclosure of Personal Information to third parties for their own direct marketing purposes during the prior calendar year. This request is typically free and may be made once a year. If you are one of those users and wish to pose such a request, please contact us in writing at the address indicated in the "Contact Us" section below, and clearly note in the subject line: "Request for Privacy Information Disclosure."
12. Children’s Privacy
ITLN does not knowingly intend to collect Personal Information from children under 13 years of age. In the unlikely event that a child has provided us with Personal Information, a parent or guardian of that child may contact us in writing at the address noted below in the "Contact Us" section, include “Request for Child Information Removal” in the subject line, and provide the name and age of the child in the body of the message. We will make reasonable efforts to delete the child’s information from the Site’s information database.
Likewise, if you are under 18 years of age, and managed to establish an account with us, you have the right to request that we remove unwanted information that you publicly post on the Site. To make that request for removal of that information, contact us in writing at the address indicated below in the "Contact Us" section, and clearly note "Removal of Minor Information" in the subject line. Once we receive such a request, we will make sure that the information is not publicly available on the Site, but the information may not be completely or comprehensively removed from our systems and databases.
